Attribution Search are working in collaboration with a Global Hedge Fund who are seeking an exceptional Senior Counsel to join their Legal Team and lead the markets, trading, and counterparty practice area.
This is a unique opportunity to provide dedicated support to the counterparty documentation process while collaborating closely with internal and global stakeholders.
You will blend your legal expertise with a strong interest in the business and play a key role in advising on complex legal matters related to counterparty documentation, investment teams, and strategic business transactions.
Responsibilities include: Lead the negotiation and drafting of complex legal agreements, including master agreements, credit support annexes, and other documentation related to counterparties.
Offer strategic legal counsel to internal teams on counterparty-related matters.
Ensure compliance with applicable laws, regulations, and internal policies.
Represent the firm in legal disputes or proceedings involving counterparties.
Collaborate with cross-functional teams to develop and implement counterparty risk management initiatives.
Keep current with changes in laws, regulations, and industry standards.
Facilitate the onboarding of new portfolio manager teams and manage transitions in or out of the firm.
Partner with firm leadership, including executives, business development, accounting, compliance, and external counsel.
Assist with strategic transactions, corporate governance, and regulatory matters as required.
Experience required to be considered: 7-10 years of experience with a law firm and/or as in-house counsel (preferably in the derivatives practice areas of an asset manager or institutional trading counterparty).
Experience negotiating and managing a wide range of institutional trading counterparty agreements, including: -ISDA/CSA negotiations -PB agreements, including securities lending and netting arrangements -Futures & options clearing (FCM) agreements -Re-purchase Agreements (GMRA/MRA) -MCA/TRS and negotiation of exotic products.
Strong understanding of capital, liquidity, and cross-default metrics, and familiarity with: -Events of default and cure periods -Hedging disruption, increased cost of hedging, FX disruption, and market disruption events -PB and futures margin lockup periods and conditions -Cross-margining, payment-netting, and cross-default terms.
Superior legal writing skills, with experience drafting bespoke agreements.
Experience managing external counsel in the U.
S., EMEA, and APAC regions.
